Terms and Conditions – Bonobos Consulting

Welcome to Bonobos Consulting. These Terms and Conditions (“Terms”) govern your use of our services and our website. By engaging with our company, you agree to comply with the following terms.

1. Services Offered

• IT Staff Augmentation (SAP, Salesforce, Data Analytics, etc.)
• Non-IT Staffing (HR, Finance, Administration)
• Contract-to-Hire Solutions
• Project-Based Consulting

All services are offered subject to availability and mutual agreement.

2. Client Engagement

Clients are required to:

• Provide clear job descriptions or Statements of Work (SOW)
• Specify the expected duration, skill level, and location
• Share onboarding and reporting processes

Bonobos reserves the right to accept or decline any engagement.

3. Candidate Ownership

Candidates submitted by Bonobos are considered our proprietary resource for 6 months from the date of submission. During this period, hiring the candidate through any means without our written consent will constitute a breach.

4. Fees and Payment

• Fees will be based on the agreed contract or work order.
• Invoices are issued at the end of each billing cycle (typically monthly).
• Payments must be made within 30 days of the invoice date.
• Late payments may incur a penalty or interest in accordance with UAE commercial laws.

5. Timesheets and Purchase Orders

• Weekly timesheets will be submitted to the client for review.
• Disputes must be raised within 3 business days of receipt.
• A valid Purchase Order (PO) must be issued prior to service commencement.
• New or amended POs must be provided if engagement exceeds approved budget.

6. Confidentiality

Both Bonobos and the client agree to:

• Keep all confidential and proprietary information secure
• Not disclose or use such information for any purpose outside the scope of the engagement

This obligation remains in effect during and after the engagement.

7. Non-Solicitation

The client agrees not to directly hire, solicit, or engage any consultant introduced by Bonobos for 12 months post-engagement without prior written approval.

In case of breach, the client agrees to pay Bonobos a fee equal to 25% of the annualized salary of the concerned consultant as liquidated damages.

8. Intellectual Property

All work products and deliverables created during the engagement shall be the intellectual property of the client.

Any pre-existing tools, templates, or IP brought in by Bonobos remain our sole property unless otherwise agreed in writing.

9. Termination

Either party may terminate the engagement:

• With 15 days’ written notice, or
• Immediately, in case of breach of contract, non-performance, or insolvency

Final billing will include all work completed up to the date of termination.

10. Governing Law

These Terms shall be governed by the laws of the United Arab Emirates. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Dubai.

11. Amendments

Bonobos reserves the right to amend these Terms at any time. Updated terms will be published on our website and will take effect immediately.
